Terms of Service

1. Who we are

B2BSXLJ (the "Platform") is operated by Shanxi Blue Whale E-commerce Ltd, 30 N Gould St Ste R, Sheridan, WY 82801, United States ("B2BSXLJ", "we", "us" or "our"). By accessing the website at b2bsxlj.com, creating a distributor account or placing an order, you ("you" or "Distributor") agree to these Terms of Service ("Terms"), our Privacy Policy and our Refund & Return Policy.

2. Eligibility & accounts

• The Platform is a business-to-business (B2B) service. You must be at least 18 years old and acting on behalf of a business that resells products. It is not intended for personal or household consumer purchases.
• Accounts are opened after we review and approve your application. We may decline or close any application or account at our discretion.
• You must provide accurate company and contact information and keep it up to date. You are responsible for all activity under your account and for keeping your login credentials and API keys confidential.

3. Products, prices & orders

• Wholesale prices, shipping fees and stock levels are shown in the distributor back office and may change at any time. The price that applies is the one displayed when you submit an order.
• Product images, descriptions and specifications are provided as accurately as possible but may contain errors. If a pricing or listing error is discovered, we may cancel the affected order and refund any amount paid.
• An order is accepted when it is confirmed in the back office or by email. We may refuse or cancel orders where stock is unavailable, payment fails, or we suspect fraud or a breach of these Terms.
• Prices are exclusive of sales tax, VAT, duties and similar taxes unless stated otherwise. You are responsible for any taxes due on your resale of products and for providing valid resale or tax-exemption documentation where applicable.

4. Payment

• Payments are processed by our payment provider, Stripe, Inc. and its affiliates ("Stripe"). By paying through the Platform you also agree to Stripe's applicable terms. We do not store full card details.
• You authorise us (through Stripe) to charge your selected payment method for the goods, shipping and fees on each order, for membership fees as they fall due, and for any prepaid balance top-ups you request.
• US warehouse orders are billed in US dollars and EU warehouse orders in euros. Your bank may charge currency-conversion fees.
• If a payment is declined or reversed, we may suspend fulfilment until the balance is paid. Please contact support@b2bsxlj.com before filing a chargeback so we can resolve the issue directly.
• Enterprise accounts approved for invoicing must pay invoices within the agreed terms; overdue amounts may result in suspension of service.

5. Memberships & automatic renewal

• Optional Pro and Enterprise memberships are billed in advance on a monthly or annual basis, as described on our Pricing & Payments page.
• Memberships renew automatically at the end of each billing period at the then-current price until you cancel. You can cancel at any time in the back office or by emailing support; cancellation takes effect at the end of the current billing period.
• We will give at least 30 days' notice by email before any increase in membership fees takes effect for your account.
• Membership refunds are governed by our Refund & Return Policy.

6. Shipping & risk of loss

Orders are shipped from our partner warehouses in the United States and the European Union to the delivery address you provide. Delivery times shown on the Platform (typically 1–5 business days) are estimates, not guarantees. Title and risk of loss pass to you when the goods are delivered to the end customer's address. You are responsible for the accuracy of delivery addresses; re-delivery costs caused by incorrect addresses are charged to you.

7. Returns & refunds

Returns, replacements and refunds — for goods and for membership fees — are handled under our Refund & Return Policy, which forms part of these Terms.

8. Distributor obligations

• You sell products to your own customers in your own name and are responsible for your listings, retail prices, customer service, and compliance with the rules of the marketplaces and sales channels you use.
• You must comply with all applicable laws, including consumer-protection, product-safety, tax, import/export and sanctions laws in the markets where you sell.
• You must not misrepresent products, make claims we have not provided, use the Platform for fraud, or resell to persons or countries subject to sanctions.

9. Intellectual property

The Platform, its software, design and content are owned by or licensed to us. While your account is active, we grant you a limited, non-exclusive, non-transferable licence to use the product images, descriptions and data we provide solely to list and sell those products. This licence ends when your account closes or the product is discontinued. Brand names and trademarks of third-party products remain the property of their owners.

10. Disclaimers

Except as expressly stated in these Terms or required by law, the Platform and services are provided "as is" and "as available". We do not guarantee that the Platform will be uninterrupted or error-free, or that any particular sales volume or profit will result from using it. Products carry only the warranties expressly stated in their listings or required by law.

11. Limitation of liability

To the maximum extent permitted by law, B2BSXLJ will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability arising out of or relating to these Terms or any order will not exceed the amount you paid us for the order or membership period giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to indemnify and hold harmless B2BSXLJ, Shanxi Blue Whale E-commerce Ltd and its officers and employees from claims, losses and expenses (including reasonable legal fees) arising from your listings, your sales to your customers, your breach of these Terms, or your violation of any law or third-party right.

13. Suspension & termination

You may close your account at any time by contacting support. We may suspend or terminate your account if you breach these Terms, fail to pay amounts due, or if required by law. Orders already accepted before termination will be fulfilled or refunded, and any unused prepaid balance will be refunded as described in the Refund & Return Policy, less amounts you owe us.

14. Governing law & disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Wyoming, and both parties consent to that jurisdiction. Before starting any proceeding, you agree to contact us first and try to resolve the dispute informally for at least 30 days.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows when they were last changed. For material changes we will notify active distributors by email at least 14 days before they take effect. Continued use of the Platform after that date means you accept the updated Terms.
